Meeting Minutes – June 21, 2006

New Business
- Organization Name The group selected The Dubuque Phlockers as its name with a tag-line of Meet the Phlockers and shall be a non-profit organization.
- Frequency and Location of Social Gatherings Social gatherings (Phlockings) shall occur on or about the first Thursday of every month. The social gatherings shall generally last from 6:30 p.m. to 8:30 p.m. and is open to any current, former, or prospective Club member. The location of future social gatherings shall be determined by members in attendance of a current gathering and will be announced to other club members via Email notifications.
- Frequency and Location of Business/Planning Meetings General Business/Planning meetings shall occur as needed and determined by the Executive Committee (see below). Until determined otherwise, general business meetings shall occur on or about the first Thursday of every month from 6:00 p.m. to 6:30 p.m. on the same date and location as the regular Social Gathering.
- Election of Officers The following persons were elected to the following positions with a term that is set to expire on or about September, 2008:
- President Ladd Nelson
- Vice President Bob Noel
- Secretary/Treasurer Chris and Jeff Sanderfield
- Social Directors Laura Schauer and Mike Frommelt
- Technology Director Joe Billmeyer (appointed by proxy)
- Executive Committee The Executive Committee shall be comprised of all elected officer positions plus the Club Founder. In the event (during normal club business) a majority opinion cannot be formed by the Executive Committee, the Club Founder shall direct the action of the Executive Committee.
- Terms of Office The group adopted the following criteria for elected positions:
- Persons shall be appointed to office positions through general Club elections.
- A term of office is defined to be a 2-year period.
- A person can be elected to an office for up to three full, consecutive terms. At the conclusion of the third full term, the officer must step down for at least one full term before being eligible for re-election to the previous office. The person can be elected to any other office during this time.
- An officer can be only be removed from an elected position if the following criteria are met:
- There is due cause as determined by a majority of the Executive Committee
- 30-day advance notice of an election to remove meeting is provided to the Club members that are in good standing citing the date, time, location and reason for the special meeting/election
- A majority vote in the election to remove is obtained from the members in attendance of the special meeting/election
- In the event of an office vacancy, the Executive Committee shall determine how the vacancy is to be resolved.
- Club officers shall not receive any monetary compensation for their services.
- Club Dues The group adopted the following annual Club Membership dues:
- $25 per person.
- $40 per family. A family is defined as any two persons over the age of 18 living at a single address with any number of children under the age of 18.
- All club membership dues shall be in the form of personal check or Money Order.
- A member is not considered to be in good club standing until their annual dues are paid in full.
- Supported Charities The group decided to support The Make-A-Wish Foundation and The Dubuque Humane Society. Support for the Adopt a Highway and/or Adopt a River charities were tabled for future discussion.
- Concert Ticket Guidelines This has been tabled for future discussion.
- Club Dissolution In the event that the Club dissolves, any remaining funds after final expenses have been accounted for shall be donated to The Make-A-Wish Foundation.
